1. Agreement to Terms

By installing or using Adweaver - AI Marketing Hub for Slack ("Service"), operated by Wove Digital Ltd trading as Adweaver, you agree to these Terms of Service ("Terms"). If you're using the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have authority to bind it to these Terms.

2. Service Description

Adweaver is a Slack application that provides AI-powered marketing tools:

• AI-Powered Ad Copy Generation: Create marketing copy for Google Ads, Facebook, LinkedIn, Twitter/X, and Bing using OpenAI GPT-4
• Keyword Research: Analyze and suggest keywords with real Google Ads data (requires Google account connection) or DataForSEO metrics
• Persona Building: Generate detailed customer personas from URLs or CSV uploads
• Search Terms Analysis: Analyze Google Ads search term reports to identify optimization opportunities
• Dashboard Access: Web interface to manage, review, and export generated content
• Integrations: Connect Google Ads for keyword data and Google Sheets for content export

Service Availability

We aim for 99.9% uptime but don't guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. Service availability depends on third-party providers including Slack, OpenAI, and Google APIs.

3. Acceptable Use

You May:

• Use the Service for legitimate business marketing purposes
• Generate content for your own organization's use
• Share generated content within your organization
• Export content for use in marketing campaigns

You May Not:

• Use the Service to generate harmful, illegal, or offensive content
• Attempt to reverse-engineer or copy the Service
• Resell or redistribute the Service without permission
• Use the Service to violate any laws or regulations
• Generate content that infringes on intellectual property rights
• Use the Service for spam or deceptive marketing practices
• Attempt to circumvent usage limits or security measures

4. User Accounts and Security

Your Responsibilities:

• Maintain security of your Slack workspace
• Keep authentication credentials confidential
• Notify us immediately of unauthorized access
• Ensure users in your workspace comply with these Terms

Our Rights:

• Suspend or terminate access for Terms violations
• Implement usage limits to ensure service quality
• Monitor usage for security and compliance

5. Intellectual Property

Your Content

You retain all rights to:

• Input data you provide (product descriptions, keywords, etc.)
• Generated content created using the Service
• Customizations and preferences you configure

Our Service

We retain all rights to:

• The Service software and infrastructure
• Our algorithms and methodologies
• The Wove Digital brand and trademarks
• Aggregated, anonymized usage data

AI-Generated Content

• Generated content is provided "as-is" without warranty
• You're responsible for reviewing and editing generated content
• We don't claim ownership of AI-generated output
• You're responsible for ensuring generated content doesn't infringe third-party rights

6. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to data processing as described in the Privacy Policy.

• You can request data deletion at any time

6A. Google Integration Terms

If you connect your Google account to Adweaver, the following additional terms apply:

Google Account Access

• You must have appropriate access rights to any Google Ads account you connect
• You are responsible for ensuring you have authorization from the account owner
• Connection is optional and the Service can be used without Google integration

Google API Usage

• Adweaver accesses Google APIs subject to Google API Terms of Service
• Our use of Google data complies with the Google API Services User Data Policy
• We are not responsible for Google API availability, accuracy, or changes

Data Accuracy

• Keyword metrics depend on Google Ads data quality and may vary
• Search volume and competition data are estimates, not guarantees
• Historical data may not reflect current market conditions

Disconnecting Google

You can disconnect your Google account at any time via the /integrations command. Upon disconnection, we delete your Google OAuth tokens within 24 hours.

7. Payment Terms

Free Tier (Per Workspace)

The Service offers a free tier with the following monthly limits per workspace:

• Ad Copy: 10 generations
• Keywords: 10 analyses
• Personas: 10 generations
• Search Terms: 10 analyses

Paid Plans (Per Seat, Per Month, GBP)

Paid plans are billed per seat (user) per month:

Per-Seat Billing

• Each paid user requires a seat assignment
• Workspace admins can assign and unassign seats via the dashboard
• Seat changes are pro-rated for the billing period
• Unused seats do not roll over

Overage Credits (Power Tier)

• Power tier users can purchase additional credit packs
• £10 per 100 credits
• Credits can be used for any feature
• Credits expire at the end of the billing period

Billing

• All prices are in British Pounds (GBP)
• Subscription fees are billed monthly in advance via Stripe
• No refunds for partial months or unused features
• Price changes require 30 days notice
• You can cancel anytime, effective at billing period end
• Downgrading takes effect at next billing cycle

8. Disclaimers and Limitations

AI-Generated Content Disclaimer

IMPORTANT: This Service uses large language models (LLMs) including OpenAI GPT-4. AI-generated content:

• May contain inaccuracies, errors, or fabricated information ("hallucinations")
• Should be reviewed and verified by a qualified human before use in any marketing campaign
• May not reflect current market conditions, pricing, or competitive landscape
• Is not a substitute for professional marketing advice or strategy
• May inadvertently reproduce copyrighted or trademarked content

You are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before publication or use.

Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee of Results

We don't guarantee that:

• Generated content will meet your specific needs
• The Service will be error-free or uninterrupted
• AI suggestions will improve marketing performance
• Generated content is factually accurate or complete
• Keyword data reflects real-time search volumes or competition
• Ad copy will comply with all advertising platform policies

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability is limited to the amount you've paid in the past 12 months
• We're not liable for indirect, incidental, or consequential damages
• We're not liable for lost profits, data loss, or business interruption
• These limitations apply even if we've been advised of potential damages

9. Indemnification

You agree to indemnify and hold harmless Wove Digital Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you generate or distribute using the Service

10. Termination

Your Right to Terminate

You may stop using the Service at any time by:

• Uninstalling the Slack app
• Requesting account deletion via admin@wovedigital.co.uk

Our Right to Terminate

We may suspend or terminate your access if you:

• Violate these Terms
• Exceed usage limits repeatedly
• Use the Service for prohibited purposes
• Fail to pay fees when due (future)

Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• We may delete your data after 30 days
• Sections that should survive (liability, indemnification) remain in effect

11. Changes to Terms

We may update these Terms periodically. We'll notify you of material changes via:

• Slack notification
• Email (if provided)
• Dashboard announcement

Continued use after changes constitutes acceptance of new Terms.

12. Governing Law and Disputes

No Waiver

Our failure to enforce any provision doesn't waive our right to do so later.

Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor.
